Welcome to GMB Billing Firm. These Terms of Service ("Terms") govern your use of our medical billing services and AI coding platform. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using GMB Billing Firm's services, you affirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Services Provided

2.1 Medical Billing Services

GMB Billing Firm provides revenue cycle management services including:

• Claims submission and processing
• Payment posting and reconciliation
• Denial management and appeals
• Patient billing and collections
• Accounts receivable management

2.2 AI Coding Platform

Our AI-powered medical coding platform provides:

• Automated ICD-10, CPT, and HCPCS code suggestions
• Documentation analysis
• Compliance checking
• Coding recommendations

Important: The AI coding platform provides suggestions only. All coding must be reviewed and verified by certified medical coding professionals before submission to payers.

3. Client Responsibilities

3.1 Accurate Information

You agree to provide:

• Complete and accurate patient demographic information
• Valid insurance information
• Accurate clinical documentation
• Timely updates to any changes

3.2 PHI Handling

When using the AI coding platform, you must:

• De-identify all Protected Health Information (PHI) before processing
• Remove patient names, medical record numbers, dates of birth, and other identifiers
• Comply with HIPAA Privacy and Security Rules
• Not upload PHI to the platform

3.3 Professional Oversight

You acknowledge that:

• AI-generated codes are suggestions, not final determinations
• All codes must be reviewed by qualified coding professionals
• Final coding decisions remain your responsibility
• You maintain ultimate responsibility for claim accuracy

4. Pricing and Payment

4.1 Percentage-Based Billing

Medical billing services are billed as a percentage (6-10%) of collected revenue. You only pay when we successfully collect payments on your behalf.

4.2 Payment Terms

• Fees are deducted from collected payments before remittance
• Detailed monthly statements provided
• No setup fees or monthly minimums unless agreed in writing

4.3 AI Platform Access

Access to the AI coding platform may be included with billing services or available separately. Pricing will be specified in your service agreement.

5. Confidentiality and Data Security

5.1 Business Associate Agreement

For clients subject to HIPAA, a separate Business Associate Agreement (BAA) will be executed, incorporating HIPAA requirements by reference.

5.2 Data Protection

We implement administrative, physical, and technical safeguards to protect your data, including:

• Encryption of data in transit and at rest
• Access controls and authentication
• Regular security audits
• Employee training on data protection

5.3 Client-Side Processing

The AI coding platform processes data client-side in your browser when possible. We do not store PHI from platform usage.

6. Intellectual Property

6.1 Platform Ownership

GMB Billing Firm retains all rights, title, and interest in our platform, algorithms, software, and technology.

6.2 Client Data

You retain ownership of your patient data, clinical documentation, and practice information. We use this data solely to provide services.

7. Warranties and Disclaimers

7.1 Service Standards

We warrant that we will provide services:

• In a professional and workmanlike manner
• In compliance with applicable laws and regulations
• Using qualified and trained personnel

7.2 AI Platform Disclaimer

IMPORTANT: The AI coding platform is provided "AS IS" for informational purposes only. We do not warrant that:

• AI-generated codes are 100% accurate
• Codes will be accepted by payers
• Use of the platform guarantees reimbursement
• Platform suggestions eliminate the need for professional review

7.3 No Medical Advice

GMB Billing Firm does not provide medical advice, diagnosis, or treatment. Our services relate solely to billing and coding administration.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our liability is limited to fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for coding errors if you did not follow professional review requirements
• We are not liable for denials due to incomplete or inaccurate information provided by you

9. Indemnification

You agree to indemnify GMB Billing Firm from claims arising from:

• Your violation of these Terms
• Your violation of HIPAA or other healthcare regulations
• Inaccurate information provided to us
• Your failure to obtain required professional review of AI-generated codes

10. Term and Termination

10.1 Service Term

Services continue until terminated by either party with 30 days' written notice.

10.2 Immediate Termination

We may terminate immediately if:

• You breach these Terms
• You engage in fraudulent activities
• Your account becomes delinquent

10.3 Post-Termination

Upon termination:

• We complete processing of submitted claims
• You receive final accounting within 30 days
• We return or destroy your data per your instructions
• Outstanding fees remain due

11. Compliance with Laws

Both parties agree to comply with:

• HIPAA Privacy and Security Rules
• False Claims Act
• Anti-Kickback Statute
• Stark Law
• State healthcare billing regulations
• Federal and state data protection laws

12. Modifications to Terms

We may update these Terms with 30 days' notice. Continued use of services after changes constitutes acceptance. Material changes affecting fees require your written consent.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes will be resolved in Miami-Dade County, Florida.

14. Dispute Resolution

14.1 Negotiation

Parties agree to attempt good-faith negotiation before legal action.

14.2 Arbitration

Unresolved disputes will be settled by binding arbitration under AAA Commercial Arbitration Rules, conducted in Miami, Florida.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with your service agreement and BAA, constitute the entire agreement.

15.2 Severability

If any provision is found invalid, the remainder continues in effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign to affiliates or in connection with a merger or sale.
